Welcome to PerimeterOS. Please read these Terms of Service ("Terms") carefully before using the PerimeterOS web application and related services (the "Service") operated by PerimeterOS ("we", "our", or "us"). By accessing or using the Service, you agree to be bound by these Terms.
Closed Alpha — Restricted Access
PerimeterOS is currently in a Closed Alpha phase. Access is granted exclusively to selected, invited users. If you have not received an invitation, you are not authorised to access or use this platform. All alpha participants are subject to additional confidentiality obligations outlined in Section 3 below.
- The platform is experimental and may contain bugs, errors, or instability.
- Features may be added, removed, or significantly changed without prior notice.
- Data loss or corruption may occur — do not rely on the Service for critical operations.
- Service availability and uptime are not guaranteed during the alpha phase.
- Your access may be revoked at any time at our sole discretion.
Acceptance of Terms
By accessing or using the Service in any way — including browsing, creating an account, or scheduling content — you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service. These Terms apply to all visitors, registered users, team members, and any other individuals who interact with the Service.
Eligibility & Authorised Access
Access to PerimeterOS during the Closed Alpha phase is strictly limited to individuals who have received a valid invitation from PerimeterOS. To be eligible to use the Service you must:
- Have received an explicit invitation or access code issued by PerimeterOS.
- Be at least 18 years of age, or the age of majority in your jurisdiction.
- Have the legal capacity to enter into a binding agreement.
- Not be prohibited from using the Service under applicable laws.
- Not share, transfer, or sell your access credentials or invitation to any third party.
We reserve the right to verify eligibility at any time and to immediately revoke access for any user found to be ineligible or in breach of these Terms.
Alpha Confidentiality
As a Closed Alpha participant, you acknowledge that you may be exposed to unreleased features, roadmaps, internal tooling, and other non-public information ("Confidential Information"). You agree to:
- Keep all Confidential Information strictly confidential and not disclose it to any third party.
- Not publicly post, screenshot, record, or share any part of the platform without our prior written consent.
- Use Confidential Information solely for the purpose of evaluating and providing feedback on the Service.
- Promptly notify us if you become aware of any unauthorised disclosure of Confidential Information.
This confidentiality obligation survives the termination of your access to the Service and will remain in effect until PerimeterOS publicly releases the information or grants written permission to disclose it.
Accounts & Credentials
When you create an account with us, you must provide information that is accurate, complete, and kept current at all times. You are solely responsible for:
- Maintaining the confidentiality of your login credentials and account password.
- All activities and actions that occur under your account, with or without your knowledge.
- Immediately notifying us of any unauthorised access or suspected security breach.
- Ensuring your account information remains up to date and accurate.
You may not use another person's account without permission. Accounts are non-transferable. We reserve the right to terminate accounts that have been shared, sold, or transferred.
Acceptable Use Policy
You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You must not:
Prohibited Content
- Post, schedule, or distribute content that is illegal, harmful, defamatory, or infringes on third-party rights.
- Use the Service to spread spam, misinformation, or unsolicited commercial content.
- Upload malware, viruses, or any code designed to disrupt or damage the Service.
Prohibited Conduct
- Attempt to gain unauthorised access to any part of the Service or its infrastructure.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Use automated bots, scrapers, or scripts to extract data from the Service.
- Interfere with or disrupt the integrity or performance of the Service.
- Circumvent any authentication, access control, or rate-limiting mechanisms.
Platform Compliance
- You must comply with the terms and policies of any third-party social media platform you connect to PerimeterOS.
- You are solely responsible for ensuring your scheduled content complies with each platform's community guidelines.
Social Media & Third-Party Integrations
The Service enables you to connect and manage content across third-party social media platforms. By connecting any platform, you confirm that you have the right and authority to do so, and you agree to comply with the respective platform's terms.
6.1 YouTube API Services
PerimeterOS uses YouTube API Services to schedule and publish content on your behalf. By connecting your YouTube account, you agree to be bound by the YouTube Terms of Service. Our use of YouTube data is also governed by the Google API Services User Data Policy, including the Limited Use requirements.
6.2 Meta Platforms (Instagram & Facebook)
By connecting Instagram or Facebook, you agree to comply with Meta's Terms of Service and Instagram's Platform Policy. PerimeterOS accesses only the permissions necessary to deliver scheduling and analytics features.
6.3 Twitter/X
By connecting your Twitter/X account, you agree to comply with the Twitter/X Terms of Service. PerimeterOS accesses your account solely to schedule posts and retrieve analytics on your behalf.
6.4 TikTok, LinkedIn & Others
Connecting any other supported platform constitutes your agreement to that platform's applicable developer and user terms. PerimeterOS is not responsible for changes to third-party APIs or policies that may affect Service functionality.
Intellectual Property
The Service and all of its original content, features, design, codebase, and functionality are and will remain the exclusive property of PerimeterOS and its licensors. The Service is protected by copyright, trademark, and other applicable laws.
You retain all ownership rights to the content you create, upload, or schedule via the Service ("User Content"). By using the Service, you grant PerimeterOS a limited, non-exclusive, royalty-free licence to access, process, store, and display your User Content solely for the purpose of providing and improving the Service. This licence terminates when you disconnect your accounts or delete your content.
You must not use the PerimeterOS name, logo, or trademarks without our prior written consent. Feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation to you.
Termination & Suspension
We reserve the right to suspend or permanently terminate your access to the Service at any time, with or without notice, for any reason including but not limited to:
- Breach of any provision of these Terms.
- Violation of the Closed Alpha confidentiality obligations in Section 3.
- Conduct we determine, in our sole discretion, to be harmful to the Service, other users, or third parties.
- Failure to comply with applicable laws or third-party platform policies.
- The conclusion or restructuring of the Closed Alpha programme.
Upon termination, your right to access and use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property, confidentiality, limitation of liability, and governing law — shall remain in effect.
Disclaimers & No Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied. To the fullest extent permitted by law, PerimeterOS expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses. Given the Closed Alpha nature of the platform, you explicitly acknowledge and accept that the Service may be unstable, incomplete, and subject to breaking changes at any time.
Limitation of Liability
To the maximum extent permitted by applicable law, PerimeterOS and its directors, employees, partners, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of or inability to use the Service, including but not limited to:
- Loss of data, revenue, profits, or business opportunities.
- Unauthorised access to or alteration of your transmissions or content.
- Conduct or content of any third party on or via the Service.
- Errors, bugs, or downtime resulting from the alpha stage of development.
- Changes to or discontinuation of any third-party platform API.
Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you to PerimeterOS in the twelve months preceding the claim or £100 (whichever is greater). Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence.
Governing Law & Disputes
These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law provisions. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes may be referred to binding arbitration or the courts of competent jurisdiction.
Changes to These Terms
We reserve the right to modify these Terms at any time. If changes are material, we will provide at least 14 days' notice via email or a prominent notice within the Service before the new Terms take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
